How Does Registrar Acquisition Work?
Purchase Registrar Business 100%
Buy Out 100% of the Registrar Business
In this method, the buyer acquires 100% of the shares of the ICANN-accredited domain registrar business. This includes taking over all assets (movable, immovable, software, IP, trademarks) along with liabilities and compliance obligations (tax and legal). While this approach allows for a seamless transfer of operations, it involves extensive due diligence, as the buyer assumes all risks, including historical liabilities. It's ideal for complete acquisitions but requires careful evaluation.
Reassignment of Registrar Accreditation
Transfer of Accreditation Alone
In this approach, the buyer applies for a reassignment of ICANN accreditation from the seller's company to their own. This process typically takes 30–45 days for ICANN's approval. The buyer can also enter into a separate agreement to purchase the seller's assets, software, and registry contracts. Once ICANN approves the reassignment, all ICANN, registry, and RDE agreements held by the seller automatically transfer to the buyer's company. This method carries lower risk compared to a full purchase.
